Vendor & Merchant Terms
These terms outline the rights, responsibilities, tax obligations, and compliance requirements of vendors and merchants providing products or services to Nova Axis.
1. Agreement & Acceptance
By engaging as a vendor or merchant with Nova Axis, you agree to comply with these terms. Any provision of goods or services constitutes acceptance of these rules and obligations.
2. Vendor Obligations
Vendors must provide products or services that meet agreed specifications, comply with applicable laws and regulations, and maintain the highest standards of quality and safety. All documentation, certifications, and licenses must be valid and current.
3. Payment & Invoicing
Nova Axis will process payments according to the agreed contract or purchase order. Vendors must submit accurate invoices with complete supporting documentation. Payment timelines are outlined in individual agreements.
4. Compliance & Ethics
Vendors must comply with all anti-bribery, anti-corruption, labor, environmental, and data protection laws. Nova Axis expects vendors to uphold ethical business practices and transparency in all dealings.
5. Intellectual Property & Confidentiality
All proprietary information, trade secrets, or intellectual property shared with the vendor must be protected and not used for any purpose other than fulfilling contractual obligations. Confidentiality agreements must be strictly adhered to.
6. Termination
Nova Axis reserves the right to terminate any vendor relationship if these terms are breached, or if performance, compliance, or ethical standards are not met. Termination may be immediate or with prior notice as specified in the contract.
7. Governing Law
These Vendor & Merchant Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes will be resolved under the jurisdiction of the relevant Nigerian courts.
8. Tax Compliance
Vendors are responsible for complying with all applicable Nigerian tax laws, including the Companies Income Tax Act (CITA), Value Added Tax (VAT), and Withholding Tax (WHT). Tax and VAT are applied to products and services where necessary, and all invoices must reflect these charges accurately. Vendors must remit applicable taxes to the relevant authorities in a timely manner and provide Nova Axis with valid tax documentation where required.
